[COUNSEL REVIEW] Counsel reviews this text before it is published as final.

1. Who we are

Meridian is provided by Instateq Information Technology Solutions, a DTI-registered business in the Philippines (“we”, “us”). You can reach us at hello@meridianscreening.com.

2. The service

Meridian is a screening service for organizations. It lets your team screen people and entities against sanctions, PEP and watchlist data, review the hits, and keep a record of decisions. We provide it under a contract or order form with each customer. If the contract or order form conflicts with these terms, the contract or order form prevails.

3. Accounts and members

The customer is responsible for its members: who is added, what role each has, and what they do in the service. Members must keep their sign-in details secret. The customer must tell us promptly if it suspects an account has been misused.

4. Acceptable use

  • Use Meridian for lawful screening purposes only.
  • Do not try to disrupt the service, probe it for weaknesses without our permission, or access data that is not yours.
  • The customer is responsible for its own compliance decisions. Meridian supports review; it does not make compliance determinations.

5. Data and accuracy

Results depend on the source data and on the details you provide, and may be incomplete or out of date. A person must review every hit before relying on a result. Coverage (Full, or Sanctions only) determines which data a screening checks.

6. Fees, payment and taxes

Fees are set by the contract and are in US dollars (USD). Payment terms are set by the contract. Fees exclude any applicable taxes unless the contract says otherwise. Usage fees (screenings, watchlist re-screens and adverse media checks) are earned when the usage occurs and are not refundable; see Refunds.

[OWNER DECISION: Paddle MoR clause]

7. Intellectual property

We and our licensors own the service and its software. The customer keeps its rights in the data it submits. The contract grants the customer the right to use the service for its internal purposes during the term.

8. Confidentiality

Each party keeps the other’s non-public information confidential and uses it only to perform the contract, except where the law requires disclosure.

9. Limitation of liability

[COUNSEL REVIEW: liability cap]

10. Governing law

These terms are governed by the laws of the Philippines.

11. Changes to these terms

We may update these terms. The date at the top shows when they last changed. A signed contract or order form is not changed by an update to this page.

12. Contact
